JOB DESCRIPTION: LEGAL DIRECTOR AND COMPANY SECRETARY (RE-ADVERT)

CONTEXT

UMUTANGUHA FINANCE COMPANY (UFC) Plc is a microfinance institution licensed by the National Bank of Rwanda.

The institution wishes to recruit a Legal Director and Corporate Secretary who will work closely with the General Management, the various business units and the institution’s technical partners.

MAIN MISSIONS

  • To act as Secretary General of the company.
  • Accurately draft the minutes of the Board of Directors and Management meetings, incorporating the contributions of the participants, and distribute them promptly.
  • Ensure the implementation of recommendations from Council meetings.
  • Prepare the necessary Council resolutions and ensure their proper notification.
  • Manage the action tracking register, ensuring follow-up on decisions made during meetings.
  • Coordinate shareholder-related activities, including the organization of General Meetings, the preparation of notices and agendas, and the management of share certificates and dividends.
  • Manage all correspondence, collect information, draft reports and ensure that Council decisions are communicated to relevant stakeholders.
  • Advise Management and the Board of Directors on the scope of their powers, appropriate decision-making processes and the legal aspects of their decisions.
  • Keep the statutory books up to date, including shareholder registers, directors’ files, etc.
  • Ensure that copies of the annual balance sheet and activity reports are sent to the relevant recipients, in accordance with the law.
  • To monitor the execution of court decisions, judicial reorganization cases and other related matters.
  • Providing legal advice on various issues, including contracts, disputes, and employment-related matters.
  • Participate in management disciplinary committees and provide legal support.
  • Supervise social and litigation matters, fraud investigations and dismissal procedures, initiating legal action if necessary.
  • Review the contracts, ensuring their completeness and compliance.
  • Oversee correspondence with clients, regulatory bodies and authorities, ensuring appropriate responses.
  • Managing customer disputes.
  • Ensure compliance with the institution’s rules and regulations and prevent reputational risks with stakeholders.
  • Review all documents relating to credit disbursements to ensure that the institution’s interests are protected and that preconditions are met before any disbursement.
  • To be responsible for the preparation, review, analysis and negotiation of legal, credit and security documents.
  • To guarantee the perfection and protection of the institution’s interests in the securities and assets belonging to the institution.
  • Supervise recovery activities and ensure proper application of procedures.
  • Conducting forced debt recovery and recovery of written-off debts.
  • Perform the annual inventory and matching exercise for portfolios and guarantees.
  • To provide visionary leadership to the team and to guide its activities towards achieving the set objectives.
  • Ensure the proper management of the company’s archives.
  • Collaborating with the BNR and RDB
  • To organize, supervise and coordinate all activities under their responsibility, ensuring that human and material resources are adequate and meet needs.
  • Train and share knowledge with the Legal department team to ensure that the team fulfills their roles and responsibilities
  • Performs all tasks related to the position at the request of the General Management of UFC Plc, FINAFRICA and GROUPE DUVAL
  • Perform any other related tasks assigned by the line manager.

PROFILE SOUGHT

Education and experience

  • Master’s degree (Bac+5) in Law.
  • Minimum 5 years of experience as a Legal Director in a financial institution.
  • A Diploma in Legal Practice (ILPD) is mandatory.
  • Experience in a multi-site and/or group context is an asset.

Personal qualities

  • Leadership, rigor and organizational skills.
  • Ability to work in a matrix organization.
  • Excellent communication skills in English and French (Kinyarwanda is a plus).
  • Good listening skills, internal customer focus, ability to synthesize information.
